No payment until your profile is reinstated.

Plain-English Summary

  • You don't pay until we reinstate your Google Business Profile.
  • Once Google reinstates your profile, our job is complete and our fee becomes due.
  • What happens to the profile after reinstatement is outside our control. We are not responsible for any future suspension, re-suspension, ranking change, account issue, or any other action taken by Google at any time after reinstatement.

1. About these Terms

These Terms & Conditions ("Terms") form a binding agreement between you ("you", "Client") and Fix My GBP ("we", "us", "our", "GBP Recovery"). By submitting an enquiry, engaging us, or paying any invoice, you confirm you have read, understood and accepted these Terms in full.

If you do not agree, do not engage our services.

2. Scope of Service

We provide consulting and submission services aimed at the reinstatement of suspended Google Business Profile (GBP / GMB) listings and verification support for businesses operating in Australia.

Our role is limited to:

  • Reviewing the listing, account and supporting documents you provide.
  • Preparing reinstatement requests, appeal letters and evidence packages.
  • Submitting appeals through Google's official channels and following them up.
  • Providing written guidance on compliance with Google Business Profile policies.

We are an independent third-party service. We are not Google, are not affiliated with, endorsed by or partnered with Google LLC, Alphabet Inc., or any of their subsidiaries. "Google", "Google My Business", "Google Business Profile", "GMB" and "GBP" are trademarks of their respective owners and are used here for descriptive purposes only.

3. "No Recovery, No Pay" — Payment Terms

You do not pay our reinstatement service fee until your Google Business Profile has been reinstated by Google. This is the core of our offer.

Specifically:

  • We may take an upfront refundable deposit, security hold, or require card pre-authorisation. Where used, this is held only as security and is fully refundable if we do not achieve reinstatement, less any unrecoverable third-party costs you have explicitly authorised in writing.
  • Our service fee becomes due and payable immediately once your profile is reinstated, verified, or otherwise restored to live status by Google — including reinstatement to a state of "published", "verified", "live in Maps/Search", or any equivalent re-activation by Google.
  • Express, priority, expedited and add-on services may be quoted separately and may carry non-refundable components, which will be disclosed in writing before you accept.
  • Invoices are payable within 3 business days of issue. Overdue accounts may incur interest at 10% per annum, calculated daily, and reasonable recovery costs.

"No Recovery, No Pay" applies only to our standard reinstatement service fee. It does not extend to optional add-ons, third-party costs, expedited fees, retainers, or work outside the original scope.

4. Service Completion — Our Job Ends at Reinstatement

Our engagement is complete, and our obligations are fully discharged, the moment Google reinstates, re-verifies or restores your Google Business Profile. At that point our work is done and the service fee is earned in full.

After reinstatement:

  • What happens to your Google Business Profile is entirely outside our control.
  • We are not responsible for, and accept no liability for, any future suspension, re-suspension, disabling, removal, demotion, ranking change, edit rejection, verification loss, account lock, policy violation, manual action or any other action taken by Google or any third party in respect of your profile, listing, account, website, business or domain.
  • We do not guarantee how long your profile will remain live, how it will rank, how it will appear, or how Google will treat it in the future.
  • Any future suspension — whether occurring 1 day or 10 years after reinstatement — is treated as a new and separate matter, requiring a new engagement and a new fee. It does not constitute a failure of the original service.

You acknowledge that Google's policies, algorithms and enforcement actions are unilaterally controlled by Google and can change at any time without notice.

5. No Guarantee of Reinstatement Outcome or Timeframe

While we have a strong success record, only Google decides whether a profile is reinstated. We do not, and cannot, guarantee that any specific listing will be reinstated, nor any specific timeframe. Estimated timeframes provided by us are indicative only and are not a contractual commitment.

If we are unable to achieve reinstatement after exhausting reasonable appeal channels, our "No Recovery, No Pay" promise applies and our standard service fee will not be charged (subject to clause 3 above).

6. Your Obligations

You agree to:

  • Provide complete, accurate and truthful information, documents and evidence.
  • Provide secure access (where required) to your Google account or the relevant Business Profile, and to revoke that access at the end of the engagement.
  • Not edit, transfer ownership of, delete, re-verify, lodge separate appeals on, or otherwise modify the listing or account during our engagement without our written approval — doing so may permanently prejudice the appeal and will void our "No Recovery, No Pay" promise.
  • Comply with Google's Business Profile guidelines and all applicable laws, including operating a real, eligible business at the address or service area claimed.
  • Pay invoices on time once reinstatement has been achieved.

You warrant that you are the authorised owner or representative of the business and the listing, and that you have the right to engage us in respect of it.

7. Limitation of Liability

To the maximum extent permitted by law:

  • Our total aggregate liability to you, for any and all claims arising out of or in connection with our services (whether in contract, tort, negligence, statute or otherwise), is strictly limited to the amount of fees actually paid by you to us in the 6 months preceding the claim.
  • We are not liable for any indirect, consequential, special, incidental, exemplary or punitive damages, or for any loss of profit, revenue, customers, leads, calls, bookings, sales, goodwill, reputation, data, ranking, traffic, business opportunity or anticipated savings, even if we were advised of the possibility of such loss.
  • We are not liable for any loss caused by Google, by changes to Google's policies, algorithms, products or enforcement, by acts or omissions of third parties, by your own acts or omissions, or by events outside our reasonable control.
  • We are not liable for any loss arising from downtime, suspension, removal or unavailability of your listing — before, during or after our engagement.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law (ACL). Where our liability cannot be excluded but can be limited, our liability is limited (at our option) to re-supplying the services or paying the cost of having the services re-supplied.

8. Indemnity

You indemnify and hold us harmless against any claim, loss, damage, cost or expense (including legal costs on a full indemnity basis) arising from or in connection with:

  • Any inaccurate, misleading or unlawful information or document provided by you;
  • Any breach by you of these Terms, Google's policies, or any applicable law;
  • Any third-party claim relating to your business, your listing or your conduct;
  • Any action taken by Google in respect of your profile or account at any time.

9. Refunds

Because our standard service fee is contingent on reinstatement ("No Recovery, No Pay"), refunds of that fee are only payable in the limited circumstances expressly set out in clause 3.

No refund is payable where:

  • Reinstatement has been achieved (in full or in part) by us;
  • You have breached these Terms or interfered with the engagement (including by editing the listing, changing passwords, lodging your own appeals or transferring ownership);
  • You cancel after work has commenced — in which case work performed up to that point may be invoiced at our reasonable hourly rate;
  • The fee in question is an express, expedited, retainer, deposit-secured or third-party cost component disclosed as non-refundable.

10. Confidentiality & Privacy

We treat information you provide as confidential and use it only to deliver the services. We handle personal information in accordance with the Australian Privacy Principles under the Privacy Act 1988 (Cth). We may use anonymised, non-identifying case data for marketing and case-study purposes.

11. Intellectual Property

All templates, processes, appeal letters, methodologies, frameworks and written materials created by us remain our intellectual property. You receive a non-exclusive, non-transferable licence to use them solely for your own business and only for the matter we are engaged on.

12. Force Majeure

We are not liable for any delay or failure to perform caused by events outside our reasonable control, including (without limitation) Google policy or platform changes, internet outages, natural disasters, government action, pandemics, strikes, or third-party service failures.

13. Termination

Either party may terminate the engagement in writing at any time. On termination: (a) any service fee earned to the date of termination remains payable; (b) where reinstatement has been achieved, our full service fee is payable in accordance with clause 3; and (c) all clauses intended to survive termination (including liability, indemnity, IP and confidentiality) continue to apply.

14. Governing Law

These Terms are governed by the laws of New South Wales, Australia. You and we submit to the exclusive jurisdiction of the courts of New South Wales and the federal courts of Australia.

15. Entire Agreement & Variation

These Terms, together with any written quote or order confirmation issued by us, constitute the entire agreement between you and us, and supersede all prior representations, communications and agreements. No verbal statement, marketing material or website page modifies these Terms unless we confirm it in writing.

We may update these Terms from time to time. The version in force at the date of your engagement applies to that engagement.
